By creating an account, accessing, or using TruckOps Pro ("the Service"), you agree to these Terms of Service and our Privacy Policy. If you do not agree, you may not use the Service. These terms apply to all users, including businesses and their employees who access the platform.

2. Description of Service

TruckOps Pro is a cloud-based shop management platform designed for truck repair shops and body shops. The Service includes repair order management, estimating, parts inventory, technician tracking, invoicing, customer portals, and related features as described on our website. We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice.

3. Account Registration & Security

You must provide accurate, complete, and current information when creating an account. You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activity that occurs under your account
• Notifying us immediately of any unauthorized use
• Ensuring your team members comply with these Terms

You may not share your account with unauthorized users or create accounts using automated means.

4. Subscription & Payment

Access to certain features requires a paid subscription. By subscribing, you agree to:

• Pay all applicable fees for your selected plan
• Automatic renewal unless you cancel before the renewal date
• Provide valid payment information and authorize recurring charges

All fees are non-refundable except as required by law or as specifically stated in our refund policy. We may change pricing with 30 days' notice. Continued use after a price change constitutes acceptance of the new pricing.

5. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any regulations
• Attempt to gain unauthorized access to any part of the Service or its systems
• Upload or transmit any malicious code, viruses, or harmful content
• Interfere with or disrupt the integrity or performance of the Service

6. Your Data & Intellectual Property

You retain ownership of all data you input into TruckOps Pro ("Your Data"), including customer records, repair orders, estimates, and business information. By using the Service, you grant us a limited license to process Your Data solely to provide the Service.

TruckOps Pro and its underlying technology, logos, trademarks, and all related intellectual property are owned by us and protected by applicable law. Nothing in these Terms grants you any right to use our intellectual property except as necessary to use the Service.

7. Data Security & Privacy

We take reasonable measures to protect your data using industry-standard security practices. However, no method of transmission over the Internet is 100% secure. You are responsible for maintaining appropriate security of your account credentials and any data you input. 8. Termination

Either party may terminate the service relationship:

• By you: Cancel your subscription at any time through your account settings or by contacting support
• By us: We may suspend or terminate your account for violation of these Terms, non-payment, or other material breach, with or without notice

Upon termination, your right to access the Service ceases. We will retain your data for 90 days after termination, after which it may be permanently deleted.

9. Disclaimers & Limitation of Liability

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF SECURITY VULNERABILITIES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TRUCKOPS PRO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

10. Governing Law & Disputes

These Terms are governed by the laws of the State of Texas, without regard to conflict of law principles. Any disputes arising from these Terms or the Service shall be resolved through binding arbitration in Dallas, Texas, except that either party may seek injunctive relief in a court of competent jurisdiction for matters involving intellectual property or confidentiality.

11. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes via email or a prominent notice within the Service at least 14 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.
